Further, by accessing, using, or registering with our website or availing any of our services, you agree to be bound by these Terms and Conditions, and you likewise agree to enter and use the features of our website as well as any of its pages at your own risk.

If you do not agree with any of the terms contained in this Terms and Conditions, or any of the items in this Terms and Conditions, please do not click “Register,” “Log-In,” “Sign In” or “Agree,” or access/use our website www.booninterior.com, access/use any of our mobile apps, access/use any of our webpages, or register an account with us.

Amendments to the Terms and Conditions

Boon may from time to time, change the contents of these Terms and Conditions, or make updates and amendments to any of the provisions contained herein.

Boon shall inform you of any changes to the Terms and Conditions, by sending you notifications through the email address which you have used in registering with us, or by posting an announcement through our website or mobile app. You have deemed to have been informed and/or notified of the changes to the Terms and Conditions either through email or announcement through our website or mobile app.

Changes in the Terms and Conditions shall be applied after you have been notified. If you do not agree to any provisions of the Terms and Conditions, you must discontinue using our website, using any of our mobile apps, or availing any of our services. If you have already registered an account, and wish to discontinue using your account on our website, discontinue using any of our mobile apps, or availing any of our services, you may opt to close your account.

If you continue to use, access, log-in, or avail of our services, after you have been notified of the changes to the Terms and Conditions, you are deemed to have accepted the Terms and Conditions including its changes, if any.

Definition of Terms:

Unless the context otherwise requires, the following expressions shall have the following meanings in these Terms and Conditions:
1. “Account” as used in this notice refers to the user profile created by the User and/or Client, in order to avail of any of Boon’s services.
2. “Client” a User who registered and created an account by providing information, including his/her name, email address, residence, and/or phone number, and has created and submitted a username and password.
3. “Boon” refers to Boon Interior, Inc., the website including all pages and features therein operated and owned by Boon Interior, Inc. and can be accessed using the following URL: www.booninterior.com
4. “Boon” is a corporation owned by Boon Interior, Inc. registered under Philippine laws.
5. “Intellectual Property” means all copyright, patents, utility innovations, trademarks and service marks, geographical indications, domain names, layout design rights, registered designs, design rights, database rights, trade or business names, rights protecting trade secrets and confidential information, rights protecting goodwill and reputation, and all other similar or corresponding proprietary rights and all applications for the same, whether presently existing or created in the future, anywhere in the world, whether registered or not, and all benefits, privileges, rights to sue, recover damages and obtain relief or other remedies for any past, current or future infringement, misappropriation or violation of any of the foregoing rights.
6. “Password” refers to the valid password that a User who has an account with Boon may use in conjunction with their e-mail address to access Boon and/or its Services.
7. “Personal Data” means data, whether true or not, that can be used to identify, contact or locate you. Personal Data can include your name, e-mail address, billing address, shipping address, phone number and credit card information.
8. “Services” means services, information and functions made available by Boon.
9. ““User” as used in this notice, refers to a person who accesses the Website and registers as a Client/User.
10. “Trademarks” means the trademarks, service marks, trade names and logos used and displayed on Boon’s website, apps, emails, social media, corporate stationery, and marketing collateral including Boon’s trademark, which is property of Boon.
Interpretation: Any reference in these Terms and Conditions to any provision of a statute shall be construed as a reference to that provision as amended, re-enacted or extended at the relevant time. In these Terms and Conditions, whenever the words “include”, “includes” or “including” are used, they will be deemed to be followed by the words “without limitation”. Unless expressly indicated otherwise, all references to a number of days mean calendar days. Clause headings are inserted for convenience only and shall not affect the interpretation of these Terms and Conditions. In the event of a conflict or inconsistency between any two or more provisions under these Terms and Conditions, whether such provisions are contained in the same or different documents, such conflict or inconsistency shall be resolved in favor of Boon. and the provision which is more favorable to Boon shall prevail.

General Use of Services:

You agree to comply with any and all the guidelines, notices, operating rules and policies and instructions pertaining to the use of the Services and/or access to www.booninterior.com, as well as any amendments to the aforementioned, issued by us, from time to time. We reserve the right to revise these guidelines, notices, operating rules and policies and instructions at any time and you are deemed to be aware of and bound by any changes to the foregoing upon their publication on the Boon website.
Description of Services. Boon provides interior design services that enable its clients to collaborate with designers on their projects within the context of their own homes. It brings together clients, suppliers, and designers on one platform to streamline design development, sourcing and procurement. Boon helps homeowners, remodelers, and renters in creating personalized design online.

You must at least be eighteen (18) years of age when you avail of our services. When you use/access our website, use/access any of our mobile apps, register, or avail of our services you represent and warrant that:
1. You are at least eighteen (18) years of age, and with full capacity to enter into legally binding contracts/agreements, including these Terms and Conditions;
2. Any and all the information you provide us are true and correct, and based on your own personal knowledge, or records in your possession;
3. You agree to be bound by and strictly comply with the provisions in our Terms and Conditions;
4. You have created only one account for each type of account, with us;
5. You also agree that Boon shall have the right to validate your information, through legal means, such as, but not limited to, conducting an inquiry to ascertain your true identity, making calls to the contact details that you have provided, and cross checking your information, with any other references which could be acquired legally, or available publicly.
If Boon finds any of the information that you provided to be false, or if you have committed any fraudulent act against Boon, such acts would be considered as violations of these Terms and Conditions, and shall entitle Boon to suspend, delete, or block your account by any means, such as, but not limited to, blocking your “Internet Protocol” address.
Availability of Boon and its Services. We may, from time to time and without giving any reason or prior notice, upgrade, modify, suspend or discontinue the provision of or remove, whether in whole or in part, Boon or any Services and shall not be liable if any such upgrade, modification, suspension or removal prevents you from accessing Boon or any part of the Services.
Right, but not obligation, to monitor content. We reserve the right, but shall not be obliged to:
1. Prevent or restrict access of any User to Boon and/or the Services;
2. Report any activity it suspects to be in violation of any applicable law, statute or regulation to the appropriate authorities and to co-operate with such authorities; and/or

Creating your account

Password. During registration, you would be asked to create a strong password. The password that you choose shall be used by you every time you access your account, use any of our mobile apps, avail of our services, or log-in into your account.
You are solely responsible for the confidentiality and secrecy of your password. You must not share, disclose, or divulge, your password to anyone, in order to protect yourself.
Boon will not share or disclose your password with any person, including its own personnel, nor will any of Boon personnel be entitled to ask for your password from you.
If you believe that someone else knows your password, or if you believe that it has been disclosed to someone who is not entitled to any knowledge of the same, you must inform Boon as soon as possible so that Boon could make the necessary changes and suspend or terminate your account.
Should Boon have any reason to believe that there has been a breach of security, or misuse of the website, or any of its mobile apps, and such has been traced to your account, Boon shall have the right to suspend, terminate, or delete your account at its sole discretion.
If you have lost or forgotten your password and are unable to reset or change it following the instructions on the website or mobile app, you must contact Boon immediately so that your password could be reset or changed. If you have lost or forgotten your password, any loss to your information on our website or in any of our mobile apps, as well as any damage you might incur shall be for your own account.
Information. In creating your account, you will be advised to fill-in blanks which are marked as “Required Field/s.” You must complete the details needed for the required fields, otherwise, Boon may not be able to provide its services to you. If you do not agree to provide the information asked for in the “Required Field/s,” your account may be denied registration, and you would not be able to avail of the services of Boon.
We may also ask personal information from you every time you update your account.
Any personal information which you share with us during registration or in any other instance, would be kept confidential and will be shared only to personnel whose identities have been verified by Boon.

When you share your information with us, you also agree to be bound by the terms contained in our Privacy Notice.

Sharing
Boon shares the information gathered from the Users to the Designers and vice versa, as such is the main purpose of the website, any of its mobile apps – to create an online platform, where Users and Designers are matched.
Third parties provide certain services available on www.booninterior.com on Boon’s behalf. Boon may provide information, including Personal Data, that its website, apps, emails, and social media collect on the web to third-party service providers to help us deliver programs, products, information, and services. Service providers are also an important means by which Boon maintains its websites, any of its mobile apps, and mailing lists. Boon will take reasonable steps to ensure that these third-party service providers are obligated to protect Personal Data on Boon’s behalf.
Boon does not intend to transfer Personal Data without your consent to third parties who are not bound to act on Boon’s behalf unless such transfer is legally required. Similarly, it is against Boon’s policy to sell Personal Data collected online without consent.
Boon may share your Personal Data and other information to the following persons, entities, and affiliates of Boonas well as third-parties:
1. Users and Designers;
2. Boon’s Affiliates;
3. Advertisers;
4. Third-Party Service Providers;
5. Boon staff charged with research and development;
6. Organizations or groups partnered with Boon for purposes of career improvement and related service enhancements;
7. Government offices, agencies, and other governmental bodies, when required to do so, under authority of the law, or for purposes of crime prevention, or for the prosecution and apprehension of any offender, detection of fraud, or for any investigation under any subpoena, or other lawful order of the courts or quasi-judicial agencies; and/or
8. To any court, board, or governmental agency, when required to do so, under subpoena or any other lawful process.

Use of Services

Restrictions . Use of the Services is limited to Users that are of legal age in the Philippines and who have the legal capacity to enter into and form contracts under any applicable law.
General Terms and Conditions . You agree:
1. To access and/or use the Services only for lawful purposes and in a lawful manner at all times and further agree to conduct any activity relating to the Services in good faith; and
2. To ensure that any information or data you submit in connection with the Services is accurate and agree to take sole responsibility for such information and data.
Purported use/access . You agree and acknowledge that any use of the Services and/or any access to Boon and any information, data or communications referable to your e-mail address and Password shall be deemed to be, as the case may be:
1. Access to Boon and/or use of the Services by you; or
2. Information, data or communications submitted, transmitted and validly issued by you.
You agree to be bound by any access of Boon and/or use of any Services (whether such access or use are authorized by you or not) and you agree that we shall be entitled (but not obliged) to act upon, rely on or hold you solely responsible and liable in respect thereof as if the same were carried out or transmitted by you. You further agree and acknowledge that you shall be bound by and agree to fully indemnify us against any and all losses, injury or damage attributable to any use of any Services and/or or access to Boon referable to your email address and Password.

Intellectual Property

Ownership : The Intellectual Property of Boon’s website, apps, emails, social media and marketing collateral and all related materials are owned, licensed to or controlled by us, our licensors or our service providers. We reserve the right to enforce its Intellectual Property to the fullest extent of the law.
Restricted use : No part or parts of Boon’s website, apps, emails, social media and marketing collateral or any of its materials may be reproduced, reverse engineered, decompiled, disassembled, separated, altered, distributed, republished, displayed, broadcast, hyperlinked, mirrored, framed, transferred or transmitted in any manner or by any means or stored in an information retrieval system or installed on any servers, system or equipment without our prior written permission or that of the relevant copyright owners. Subject to Clause 4.3, permission will only be granted to you to download, print or use the materials for personal and non-commercial uses, provided that you do not modify the materials and that we or the relevant copyright owners retain all copyright and other proprietary notices contained in the materials.
The Trademarks are registered and unregistered trademarks of us or third parties. Nothing on the Boon website and in these Terms and Conditions shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use (including as a meta tag or as a “hot” link to any other website) any Trademarks displayed on the Services, without our written permission or any other applicable trademark owner.
User shall indemnify and hold harmless Boon and its subsidiaries, affiliates, officers, agents, co-branders, or other partners, and employees from any and all claims, damages, liabilities, costs, and expenses (including but not limited to, reasonable legal fees and all related costs and expenses) incurred by Boon as a result of any claim, judgment, or adjudication against Boon related to or arising from (a) any photographs, illustrations, graphics, audio clips, video clips, text, data or any other information, content, display, or material (whether written, graphic, sound, or otherwise) provided by the User to Boon (the “User Content”), or (b) claim that Boon’s designs use of the User Content infringes the intellectual property rights of a third party.

Thus, Boon does not guarantee, represent or warrant that your use of the service and the Website will always be uninterrupted, timely, secure or error-free.
You accept and understand that from time to time Boon may remove any service, product, feature or link for indefinite periods of time or cancel the service at any time, without notice.
Except as otherwise provided in the Return and Exchange Policy and these Terms and Conditions, all products and services delivered to you purchased from the Website are provided on an “as-is-where-is” and 'as available' basis, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchant ability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.
In no case shall Boon, or Boon’s directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service and through the Website, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility.
Boon is not responsible for any disputes or disagreements arising between Users and any third party, including Designers, that Users interact with using Boon and its Services. The User is to assume all risk associated in dealing with all third parties and Designers. You agree to resolve disputes directly with the other party, releasing Boon of all claims, demands, and damages in disputes among users of the Service. You are solely responsible for interactions with other Users, third parties and Designers. Boon shall not be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of you or anyone else in connection with your use of the service, including without limitation, bodily injury, emotional distress, and/or damages resulting from communications, specifically when you agree to meet in person. You assume all risk when engaging the services of any other User and in connection with using the Service, including but not limited to any risks associated with obtaining services from any Designer or providing any services to any User, including all risks of physical or emotional injury or harm resulting any way or arising out of installation services or contacts obtained through the Service.
Boon makes no representations about accuracy, reliability, completeness, or timeliness of any contents or designs provided by the Service. Boon makes no representations about accuracy, reliability, completeness, or timeliness of any data from a third-party service or the quality or nature of third-party products or services obtained through the Service. Use the Service at your own risk.

Additional Services from Boon

A User may wish to purchase items from third parties (“Vendor”) through Boon and its Services. Boon will collect the cost of the items from the user to be able to place the order with the Vendor for the purchase. All Vendor terms and conditions apply to these purchase, including any warranties, return policies and delivery/shipping fees.
Boon and its Services may offer its Users assistance with furniture and finishes installation for a fee. Boon will collect the estimated cost from the User and coordinate with a third-party contractor for installation, during which, Boon may provide its User’s personal information to determine location and costs.
Boon and its Services shall not be liable for any loss, damage, or delay arising from force majeure. “Force majeure” shall include but not be limited to earthquakes, storms, fire, lightning, floods and other natural disasters or acts of God, war, hostilities, insurrection, national emergency, civil disturbance, orders of or actions from competent government authority, offices or agencies, or any similar cause beyond the control of either party and which is unforeseeable or, if foreseeable, is inevitable or unavoidable even with the exercise of reasonable diligence.
Any claims for loss, damage or delay must be made in writing and submitted to Boon within thirty (30) days from discovery of the loss, damage or delay; otherwise, it shall not be honored.

Payment

Boon’s current fee schedule and payment policies for the Services can be found on the website. Service packages will be settled during the ordering process upon checkout. The fee is due and payable in advance of the User’s design process. You agree to pay all charges in the fee schedule, as well as any merchandise purchase charges, applicable sales tax, shipping costs and fees, at the time of merchandise checkout. This may include applicable sales tax, shipping costs and fees. All fees are exclusive of applicable taxes, unless otherwise stated, and you are solely responsible for the payment of any such taxes that may be imposed on your use of the services provided to you.
Boon uses third parties to process payments. The payment methods may be subject to additional terms as prescribed by Boon from time to time.
You agree that you are subject to the applicable user agreement of your payment method. You may not claim against Boon for any failure, disruption or error in connection with your chosen payment method. Boon reserves the right at any time to modify or discontinue, temporarily or permanently, any payment method without notice to you , giving any reason, or offering a refund.
Boon may offer Users a refund at its own discretion. All refund requests must be received in writing or via email. A full refund can be requested prior to work commencing by the Designer up to 6 months after payment. Once the User has uploaded the photos and video required for the Room Tour, a milestone task has been accepted by Boon and work has commenced for the Designer, hence, a refund is no longer be available.
Referrals must be new Users of Boon and valid only on the first transaction. Users may not refer themselves, once discovered any awarded credits will be forfeit. Referred packages must be active and have progressed to the first Design Stage with at least the Mood Board uploaded by the Designer to qualify as a successful referral.

Notices

Notices from us shall be sent to you through SMS or email messages, or through registered mail as we deem fit.
You may give notice to us in writing sent to our designated address or e-mail address, or through messages sent to our cellphone number. While we endeavor to respond promptly to notices from you, we cannot guarantee that we will always respond with consistent speed.

Termination

You may terminate the relationship by deactivating your account, uninstalling the mobile app or ceasing use of the Service, forfeiting any and all payment for Services that are ongoing and/or have already been rendered. Upon any termination, you must immediately cease all use of the Service. If you are a Designer that was selected by a User to provide a design and you terminate your account before you have completely delivered the Design Package, you may not be allowed to use the Service in the future.

General Provisions

Cumulative rights and remedies: Unless otherwise provided under these Terms and Conditions, the provisions of these Terms and Conditions and our rights and remedies under these Terms and Conditions are cumulative and are without prejudice and in addition to any rights or remedies we may have in law or in equity, and no exercise by us of any one right or remedy under these Terms and Conditions, or at law or in equity, shall (save to the extent, if any, provided expressly in these Terms and Conditions or at law or in equity) operate so as to hinder or prevent our exercise of any other such right or remedy as at law or in equity.
No waiver: Our failure to enforce these Terms and Conditions shall not constitute a waiver of these terms, and such failure shall not affect the right later to enforce these Terms and Conditions. We would still be entitled to use our rights and remedies in any other situation where you breach these Terms and Conditions.
Severability: If at any time any provision of these Terms and Conditions shall be or shall become illegal, invalid or unenforceable in any respect, the legality, validity and enforceability of the remaining provisions of this Agreement shall not be affected or impaired thereby, and shall continue in force as if such illegal, invalid or unenforceable provision was severed from these Terms and Conditions.
Rights of third parties: A person or entity who is not a party to these Terms and Conditions shall have no right under any legislation in any jurisdiction to enforce any term of these Terms and Conditions, regardless of whether such person or entity has been identified by name, as a member of a class or as answering a particular description. For the avoidance of doubt, nothing in this Clause shall affect the rights of any permitted assignee or transferee of these Terms and Conditions.
Governing law: Use of Boon and/or the Services and these Terms and Conditions shall be governed by and construed in accordance with Philippine law. If any dispute arises in connection with these Terms and Conditions.
Amendments: We may by notice through www.booninterior.com or by such other method of notification as we may designate (which may include notification by way of e-mail or announcement on the website), vary and update of these Terms and Conditions, such variation to take effect on the date we specify through the above means. If you use Boon or the Services after such date, you are deemed to have accepted such variation. If you do not accept the variation, you must stop access or using Boon and the Services and terminate these Terms and Conditions. Our right to vary these Terms and Conditions in the manner aforesaid may be exercised without the consent of any person or entity who is not a party to these Terms and Conditions.
Correction of errors: Any typographical, clerical or other error or omission in any acceptance, invoice or other document on our part shall be subject to correction without any liability on our part.
Currency: Money references under these Terms and Conditions shall be in Philippine Pesos.
Entire agreement: These Terms and Conditions shall constitute the entire agreement between you and us relating to the subject matter hereof and supersedes and replaces in full all prior understandings, communications and agreements with respect to the subject matter hereof.
Binding and conclusive: You acknowledge and agree that any records (including records of any telephone conversations or SMS relating to the Services, if any) maintained by us or our service providers relating to or in connection with the Services shall be binding and conclusive on you for all purposes whatsoever and shall be conclusive evidence of any information and/or data transmitted between us and you. You hereby agree that all such records are admissible in evidence and that you shall not challenge or dispute the admissibility, reliability, accuracy or the authenticity of such records merely on the basis that such records are in electronic form or are the output of a computer system, and you hereby waive any of your rights, if any, to so object.
Assignment: You may not assign your rights under these Terms and Conditions without our prior written consent. We may assign our rights under these Terms and Conditions to any third party.
Force Majeure: We shall not be liable for non-performance, error, interruption or delay in the performance of its obligations under these Terms and Conditions (or any part thereof) or for any inaccuracy, unreliability or unsuitability of the Platform's and/or Services’ contents if this is due, in whole or in part, directly or indirectly to an event or failure which is beyond our reasonable control. “Force majeure” shall include but not be limited to earthquakes, storms, fire, lightning, floods and other natural disasters or acts of God, war, hostilities, insurrection, national emergency, civil disturbance, orders of or actions from competent government authority, offices or agencies, or any similar cause beyond the control of either party and which is unforeseeable or, if foreseeable, is inevitable or unavoidable even with the exercise of reasonable diligence.
